ADC India Q1 FY27: Revenue Up 40.6% to ₹63.4 Cr, a New Parent Named Amphenol, and an Open Offer That Drew 14 Shares

For the quarter ended June 30, 2026, ADC India Communications reported revenue of ₹63.42 Cr, up 40.6% from ₹45.11 Cr a year earlier. Operating Profit came in at ₹10.84 Cr, up 83.1%, and PAT at ₹8.58 Cr, up 72.6%. The operating margin was 17.09%, compared with 7.33% in the March quarter. That is a margin that more than doubled in three months, which for a cable-and-connector business counts as a plot twist.

The corporate backdrop was even busier than the P&L. Over the past twelve months, the company's ultimate parent changed. The US parent CommScope sold its connectivity business to Amphenol, the deal closed on January 9, 2026, and Amphenol now indirectly controls 72.02% of the company. A mandatory open offer followed for 26% of the shares, which means 11,96,000 of them. By the time the tendering window closed on April 17, 2026, 14 shares had been tendered. Not fourteen lakh. Fourteen, a number that fits comfortably inside a wedding shagun envelope.

The company carries zero borrowings and ₹61.34 Cr of cash and bank balances as of March 2026. It employs a workforce small enough that the office cricket team would struggle to field two sides. The market values the whole thing at ₹1,058 Cr, at a P/E of 47.0.

The Telecommunication segment's revenue for the quarter was ₹12.11 Cr, against ₹2.86 Cr in the same quarter last year.

Introduction

ADC India Communications was incorporated in 1988 and is headquartered in the Peenya Industrial Area of Bangalore. Its registered office and factory share the same address. It manufactures and trades telecommunications and IT networking products. In plain terms, it makes and sells the physical plumbing of the internet: the copper, the fibre, and the fittings that connect them. Every video call depends on something like this sitting quietly in a ceiling somewhere, being ignored.

For most of its listed life, the company sat inside the CommScope family. It is not a small arrangement: CommScope Connectivity LLC holds 67.49% and CommScope Technologies LLC holds 4.54%, together 72.02%. Then, on August 5, 2025, the company disclosed that CommScope would sell its CCS segment to Amphenol, in a transaction the filing summary sizes at $10.5 billion. For context, that is a deal large enough that ADC India would appear in its paperwork the way a single screw appears on a shipping manifest for a ship.

The transaction closed on January 9, 2026. Under Indian takeover rules, a change of control at the top triggers an open offer to public shareholders. The offer machinery then produced a small library of filings over three months: a detailed public statement, a draft letter of offer, a letter of offer, a pre-offer advertisement with a corrigendum, and updates. The tendering window moved from March 5–18 to April 2–17. Each document restated the offer in slightly different formatting, in the grand tradition of corporate India saying one thing seven times.

On April 24, 2026, Amphenol disclosed that the open offer was complete, that it had directly acquired 14 shares, and that it indirectly controls 72.02% of ADC India. The shareholding table now lists Amphenol Corporation as a promoter entity at 0.00%. That line is technically accurate, the financial equivalent of listing a new landlord on the lease in very small font.

The public shareholder base stood at 7,668 holders in June 2026, compared with 4,773 in September 2023.

Business model

ADC India sells connectivity: the physical kind, not the spiritual kind. Its offerings, per its own descriptions, cover four areas:

- **Enterprise Network Solutions:** a structured cabling system of copper and fibre cable, connectivity, and cable management. "Cable management" is the industry's term for preventing a server room from turning into a bowl of noodles.

- **Carrier Network Solutions:** infrastructure for telecom central offices, data centres, outside plant, and wireless deployments.

- **Broadcast and Entertainment:** fibre and copper connectivity for video, audio, and data networks.

- **Wireless products:** in-building and outdoor systems that deliver mobile coverage where carriers struggle to reach. This covers basements, malls, and the specific corner of every office where calls go to die.

The company reports two segments. IT-Networking brought in ₹51.30 Cr of revenue this quarter and ₹181.89 Cr in FY26. Telecommunication brought in ₹12.11 Cr this quarter and ₹18.17 Cr for all of FY26. In other words, the smaller segment produced two-thirds of its previous full-year revenue in a single quarter, which is the corporate version of a side character stealing the episode.
