Beacon Trusteeship FY26: India's Only Listed Trustee Turns ₹35 Cr of Fees Into a 24x Question

Beacon Trusteeship works in the plumbing of India's debt market as a corporate trustee. When a company issues bonds, a trustee holds the security and monitors the terms. The trustee is the independent party in a bond deal, not the lender or the borrower. Revenue for the year to March 2026 came to ₹35.12 crore. A year earlier that same line had stood at ₹27.08 crore. Consolidated profit after tax, the group's profit once tax is paid, was ₹6.98 crore. The company describes itself as India's first and only listed trustee.

The market pays ₹24.20 for every ₹1 of yearly profit. Beacon carries no borrowings and holds ₹17.36 crore in mutual funds and shares. Its fees are charged upfront on signing and then yearly while a mandate lives. Operating margin, profit from the core business before interest and tax, was 35.45%. Depreciation, the yearly write-down of assets already bought, nearly tripled to ₹2.84 crore. The company capitalised its technology platforms during the year. The trusteeship book grew to 797 live mandates, from 739 the year before. Debtor days, the average wait to be paid, rose from 73.9 to 91.2.

Then there is the paperwork nobody frames on the office wall. SEBI, India's market regulator, sent the company an administrative warning in January 2026. A penalty of ₹5 lakh against the company is under appeal. A merger inside the promoter group sits before the National Company Law Tribunal. That tribunal is the body which approves company mergers in India.

Introduction

Beacon Trusteeship was incorporated on 23 December 2015 and has one line of work. Pratapsingh Nathani, a former banker, promoted the company and still chairs its board. He also runs the firm day to day as its Managing Director. The work is corporate trusteeship, which sits in the plumbing of the debt market. A company raising money through bonds or debentures needs an independent party in the middle. A debenture is a loan to a company in the form of a tradable certificate. That party holds the security, monitors the covenants and steps in if things break. Covenants are the promises a borrower makes in the loan papers. Beacon does that work, and a spread of adjacent things around it.

The shares were listed on 4 June 2024 on NSE Emerge, the exchange's platform for smaller companies. That platform exists for companies too small for the main board. In its own documents the company calls itself India's first and only listed trustee. A listed trustee files its own disclosures as well as monitoring other people's. That claim is the spine of every investor paper it produces.

The year to March 2026 was busy away from the accounts as well. Anil Grover joined as Chief Executive in January 2026 and became an Executive Director by February. The Company Secretary post changed hands twice inside the same year. A company secretary is the officer responsible for a listed company's compliance paperwork. Two senior appointments and two secretarial changes therefore landed inside twelve months. The trustee spent the year holding other people's trust deeds while rearranging its own house. The promoter group set in motion a scheme to fold three private companies into the listed entity. The National Stock Exchange has cleared that scheme at its no-objection stage. Per the company's own exchange announcements, the National Company Law Tribunal heard the matter on 1 July 2026. The same announcements set the next hearing for 12 August 2026.

Business model

In plain terms Beacon works like a toll booth on the debt highway. It charges a fee when a trust deed is signed, then a yearly fee while the mandate lives. That annual fee is indexed to assets under administration or to the deal's own terms. Assets under administration means the value of the paper the trustee oversees. Domestic trusteeship brings about 93% of revenue, and professional fees about 6%. A sliver comes from units in special economic zones, estates with their own tax rules. There is no inventory, no factory, no borrowing and no working capital to fund.

SEBI, India's market regulator, licenses much of the menu. That part covers bond and debenture trusteeship, alternative investment fund trusteeship, securitisation and escrow. Alternative investment funds are pooled funds sold to wealthy and institutional investors. Beacon is also trustee to REITs and InvITs, trusts that own property and infrastructure. Share-pledge trusteeship, holding shares put up as loan security, sits on the same list. Outside SEBI's remit the list runs longer: security trustee, facility agent, family trusts and ESOP trusts. ESOP trusts hold the shares a company sets aside for its employees. The firm also offers safekeeping for everything from merger papers to source code. It is a service list that says yes to every room in the building.

On top of this sits a stack of in-house software platforms. They include Beacon 360 ERP, the ProSec securitisation platform, a covenant monitor and an investment-manager platform. Management's pitch is that software turns a headcount business into a scale business. Volumes can then rise, management says, without staff rising in lockstep. Those platforms were capitalised, and depreciation and amortisation reached ₹2.84 crore. Amortisation is the same yearly write-down, applied to software rather than machines. A platform capitalised this year becomes a cost line in every year after it.

Beacon runs trusteeship from India, the GIFT financial centre and Mauritius. GIFT is the Indian financial centre run under offshore-style rules. Its subsidiary Beacon Investor Holdings now holds a registrar and transfer agent registration. A registrar and transfer agent keeps a company's register of shareholders. The same subsidiary is registered as a depository participant, through which shares are held electronically. The company's case is that one window cross-sells better than four specialists would. The mandate count stood at 797 by the end of the year.
