What the company does

The Fineotex Group was established in 1979 by Mr. Surendra Tibrewala. Fineotex Chemical Limited (FCL) is a part of the Group and was incorporated as a public limited company in 2004. The company got listed on the Bombay Stock Exchange in March 2011 and the National Stock Exchange in January 2015. At present, Mr. Sanjay Tibrewala, son of Mr. Surendra Tibrewala, looks after the day -to-day operations and Mr. Surendra Tibrewala supervises the overall affairs and is involved in the strategic decisions. The company has three manufacturing facilities at Navi Mumbai (Maharashtra), Selangor (Malaysia) and Ambernath (Maharashtra). The company manufactures over 470 specialty chemicals and enzymes for the textile, garment, construction, leather, water treatment, agrochemical, adhesive and other industries and is present in around 70 countries. It is a leading manufacturer of specialty and performance chemicals for textiles. FCL manufactures and provides the entire range of products for pre- treatment, dyeing, printing and finishing for textile processing to customers across the globe. The company has also entered the health/hygiene (detergent/handwash) segment and has witnessed a healthy scale -up of operations in this business.

Fineotex Chemical Q1 FY27: A Textile Chemicals Company Where Two-Thirds of Revenue Now Comes From Texas Oil Wells

Fineotex Chemical sells specialty chemicals: textile auxiliaries, cleaning products, water treatment lines and oilfield chemicals. Revenue from operations in the three months to June 2026 was ₹376.63 crore. A year earlier the figure was ₹137.07 crore, a rise of 175%. Operating profit for the quarter rose to ₹59.14 crore from ₹25.20 crore. Profit after tax attributable to the owners was ₹38.40 crore, against ₹24.81 crore. Total profit after tax, counting outside shareholders in part-owned units, was ₹48.21 crore. Of that, ₹9.81 crore belongs to minority holders in the newly acquired American entities.

The company states the source of the step-change plainly: a full quarter from CrudeChem Technologies Group. CrudeChem is an American specialty oilfield chemicals business. Fineotex acquired a 53.33% controlling stake in it on 5 December 2025. Management said on the July 2026 call that almost 65% of revenue now comes from oil and gas. About 55% of volume comes from the same source, on management's account. The group began in 1979, selling softeners and enzymes to Indian textile mills. Most of its sales now come from friction reducers, chemicals pumped into American shale wells.

Operating margin for the quarter was 15.7%, against 18.4% a year earlier. ICRA, a credit-rating agency, said in February 2026 that the acquired entities carry lower margins than the existing business. The agency expects consolidated margins to moderate while operating profit grows. Management declined to commit to a blended margin figure, saying it does not give clear-cut guidance. The expansion of the Texas plant was commissioned during the quarter. CrudeChem's capacity there rose to 1,48,000 tonnes a year from 80,000 tonnes. Management disclosed that about 63% of that Texas capacity is in use, and on a single shift.

Introduction

Mr Surendra Tibrewala started the Fineotex group in 1979. Fineotex Chemical Limited was incorporated as a public limited company in 2004. It listed on the BSE in March 2011 and on the NSE in January 2015. Mr Surendra Tibrewala is Chairman and Managing Director, and takes the strategic decisions. His son, Mr Sanjay Tibrewala, runs daily operations as Executive Director and chief financial officer. Four of the seven board members are independent and non-executive.

For most of its listed life the company sold specialty textile chemicals and carried little debt. Consolidated revenue rose from ₹127 crore in the year to March 2017. By the year to March 2024 it had reached ₹569 crore. The year to March 2025 went backwards, to ₹533 crore. ICRA, a credit-rating agency, records volumes falling about 10% over that year. The agency points to headwinds in the health and hygiene segment, with operating margin at 24%.

What followed was a change of shape rather than a recovery. In the year to March 2025 the company raised about ₹192.6 crore, ICRA records. It came from two preferential issues of shares and warrants, sold to selected buyers rather than the public. A warrant gives its holder the right to buy a share later at a fixed price. A further ₹50.21 crore came in the year to March 2026 as warrants were converted. Unexercised warrants lapsed, and ₹22.42 crore was forfeited to capital reserves. Authorised capital was raised to ₹120 crore in the same year. The share's face value was split from ₹2 to ₹1. A bonus issue gave four new shares for every one held. The allotment came to 91.66 crore new shares. Equity share capital on the books went from ₹22.92 crore to ₹116.45 crore.

The money from those raises went to Texas. CrudeChem is four American entities with combined annual revenue of roughly USD 65 million. Fineotex paid about USD 11.5 million for the 53.33% stake, funded from its own earnings. A 15-acre plant at Midland was commissioned in March 2026. The Texas expansion followed in June 2026. The group now consolidates thirteen subsidiaries in its accounts.

Business model

Fineotex makes more than 470 categories of specialty chemicals and enzymes. These run to over 1,600 SKUs, the separate product and pack lines a maker keeps on its books. The chemicals sell in about 70 countries through more than 115 dealers.

The original business is textile chemistry, and it is genuinely granular. The company sells into every stage of a fabric's life. Polymers and softeners go in at sizing, enzymes and sequestering agents at pre-treatment. Dyes and levelling agents go in at dyeing, binders and loop accelerators at printing. Silicones and resins go in at finishing. Somebody there has spent decades on the chemical difference between a towel that feels soft and one that only looks it. Customers include Raymond, Vardhman, Welspun and Himatsingka. The Nahar group is on the list as well.

A second line is cleaning and hygiene: floor cleaners, hand washes, sanitisers and dishwashing liquids. Toilet bowl cleaners sit in the same range. A third is water treatment, anti-scaling polymers sold under the Diquest brand. Since December 2025 there has been a fourth, oilfield chemicals. It covers demulsifiers, corrosion inhibitors, biocides and surfactants, the chemicals that make water spread and lift oil. CrudeChem brings a portfolio of more than 90 chemicals, led by friction reducers.

The link between a toilet bowl cleaner and a shale well friction reducer is surfactant chemistry with a service wrapper. Fineotex sells the wrapper hard. CrudeChem's in-house work covers product design and testing, manufacturing, last-mile delivery and field engineering support. Management said it kept the logistics arm rather than outsourcing it. American customers, in its words, want delivery at their doors, and the business is totally service-oriented. Management keeps the logistics entity separate because, as it put it, in the US it is very common to sue each other.

Manufacturing sits across five plants with combined capacity of about 2,68,000 tonnes a year. Texas accounts for 1,48,000 tonnes and Ambernath for 76,000. Mahape adds 36,500 tonnes, and Selangor in Malaysia 6,500. Biotex Malaysia runs research and development. Its work includes an eco-friendly mosquito life cycle controller with government approval, called AquaStrike Premium. A maker of textile auxiliaries therefore holds a licence for a biotech mosquito repellent. The company reports 44% of CrudeChem revenue coming from green chemistries.
